Annual Dues
The Secretary-Treasurer shall send an invoice for yearly dues by February fifteenth, and all golfing privileges and social member dues shall be due for payment in full by March first. The annual membership dues shall be increased by 3% of the base fees per year, rounded to the nearest dollar.
Each member that pays green fees for the year shall prepay Men's Nights' meals at $55.00 per year and Ladies Nights' meals at $45.00 per year. All income from this assessment shall be used for debt reduction for the club.
An Associate Social Membership shall be an individual who has the right to attend all social functions at SSGCC (including men and ladies dinner nights). Husband and wife shall need to purchase separate memberships. An associate social member shall be allowed to rent the clubhouse facilities at membership rates, but will not be allowed to have reduces golfing rates for guests or be able to golf or to sponsor guests for golfing on men's or ladies' days, Sundays, or holidays. The associate social member must serve on Men's or Ladies' Night and serve on committees for social functions. The associate social member must prepay for Men's or Ladies' Night the same as regular green fee members (if applicable). The associate social member shall pay annual dues of $125.00 per person per year. All penalties that apply to regular members and green fees members for not fulfilling their serving obligations shall apply to associate social members.
New members must claim marital status when purchasing stock. Existing members should be required to make the Board aware of marital status changes within 30 days of that change.
Disciplinary Action
Members that do not pay their dues on time shall be charged interest at one per cent per month that dues are in arrears. Such members will have no clubhouse or golfing privileges until their dues are paid in full. If the delinquent member has not paid dues for 12 months, the share shall be offered for sale and the amount of delinquent dues plus interest deducted from the proceeds.
The Board of Directors shall determine a fee that allows members the right to buyout of their serving responsibilities for Men’s nights, Ladies’ night, and/or other committee. The buyout must be done by March 1.
Any member that does not bring food, show up to work, or find a replacement to do these duties for their designated serving night will be assessed a penalty of $150.00. The entire amount of the assessment will go to the serving committee
to help pay for the cost of the food for the evening. Any member assigned to work a tournament that does not bring food, show up to work, or find a replacement to do these duties will be assessed a penalty of $150.00 for a single membership or $300.00 for a family membership or an amount determined by the tournament chairperson not to exceed the amount of $150.00 for a single membership or $300.00 for a family membership.
The offending member’s golfing and clubhouse privileges will be revoked until the penalty is paid. The member’s name will be posted on the bulletin board until payment in made. Penalties will be added to the next years billing if not paid.
Members may be disciplined for inappropriate action according to the following procedures. Each written complaint must define the exact violation of the rules, the date of occurrence, the member(s) involved, and must by signed by four members of SSGCC. The board reserves the right to waive the violation procedure pending the severity of the violation.

- First Violation of Any Rule: The Board of Directors will review the complaint. If the actions are found in violation of the rules, the Board shall send them a letter of reprimand.
- Second Violation of Any Rule: The Board of Directors will review the complaint. If the actions are found in violation of the rules, the member(s) shall be required to appear before the Board of Directors.
- Third Violation of Any Rule: The Board of Directors will review the complaint. If the actions are found in violation of the rules, the right of the member to keep his/her membership shall come to a vote at the Annual Meeting. The member (even if a shareholder) shall lose his/her rights to any membership with a simple majority vote.
Committees
The Greens and Grounds Committee shall consist of a chairperson and five members. This committee shall be responsible for supervising the greenskeeper and employees and volunteers working on the grounds of SSGCC. The head greenskeeper shall report to the chairperson of this committee. Any suggestions or complaints concerning the grounds of SSGCC shall be addressed only to the chairperson or member of this committee. This committee shall prepare a long-range plan for improvements to be made to SSGCC.
The Clubhouse Committee shall consist of a chairperson and five members. This committee shall be responsible for planning the construction of a clubhouse and shall also be responsible for any needed repairs or improvements. This
committee shall also advise the Board of Directors concerning the needs for clubhouse employees.
The Golf Tournament Committee shall consist of a chairperson and five members. Each member of the committee shall be responsible for supervising one invitational or one club golf tournament during the club season. The committee should present the President with a schedule of planned golfing events by February first.
The Rules and Regulations Committee shall consist of a chairperson and five members. This Committee shall formulate rules of conduct for the members in the clubhouse and on the golf course. They should also set up standards for
outside green fees and for guest-night privileges. They shall present these rules to the board of Directors for approval by majority vote or for inclusion in the By-Laws of SSGCC by majority vote at two general meetings of SSGCC.
The Long-Range Planning Committee shall consist of a chairperson and three members. This Committee shall meet at least once per year to formulate a plan considering possible needs for the coming years at SSGCC. This Committee shall report their plans at the annual meeting of the club.
Rules for Outside Green Fees
No persons shall be allowed to pay green fees without being a guest of a member and playing in the same foursome at Men’s and Ladies Days functions. Any persons (Non-members) may only be a golfing or social guest three times per golfing season on Men’s and Ladies Day.
Junior Membership
Any minor child in high school or younger will be included in the family membership dues. All young adults enrolled in college or living under the same roof until they are twenty-three years old by April 1: dues are Fifty Dollars ($50.00). The parents shall submit their names and ages when paying their dues.
Constitution
The name of this organization shall be the SILVER SPRINGS GOLF AND COUNTRY CLUB and shall be abbreviated as SSGCC in this document. The SSGCC shall be a non-profit corporation incorporated in and according to the laws of the State of Iowa. The sole purpose of SSGCC shall be to promote the enjoyment and the activities of members of SSGCC.
The SSGCC Corporation shall issue stock in the amount of Two Thousand Five Hundred Dollars ($2,500). Any one person or entity eighteen years or older may own from one to ten shares. All stock shall be owned by entities with an Iowa address. Each share ($2,500) shall be entitled to one vote. A maximum of 183 shares will be allowed.
Active membership means the family or single person who pays the yearly golfing privileges for the year. All active members are responsible for working at scheduled golf course functions.
Active membership shall pay the yearly dues and be entitled to full club privileges for themselves and their household (living under the same roof). All owners of a share SHALL be responsible for the yearly dues assessment.
Inactive membership shall be persons holding a share that assign the yearly golf privileges to another person or family. Inactive members are required to notify the club secretary of their intentions to assign the golfing privileges by February 1 and shall guarantee payment of the annual golfing dues by the due date. All stockholders holding one share must pay the full golfing dues or must find another person to pay the golfing dues for each year.
Inactive members may become Social Members by paying the yearly social membership dues which shall entitle them to clubhouse privileges. Social members may participate in all non-golfing functions including clubhouse rental but shall not be able to play golf without paying regular green fees.
Each share shall have one vote and in the event of disagreements of co-owners, one party should be designated as the official voting person.
The Secretary-Treasurer shall issue a stock certificate within one week after a share purchase.
Any shareholder may sell or transfer his/her share to any person or entity with an Iowa address. The Secretary of the Board shall be notified within thirty days upon transfer of the stock certificate. All shares that are sold after November 3, 2002, shall be numbered above 188. If one of these shares that are numbered 188 or above are a second share owned by a shareholder, the stockholder is responsible to pay all green fees.
The affairs of the Corporation shall be conducted by a Board of Directors consisting of ten directors. These directors shall be elected at the annual meeting of the SSGCC each year to serve the following terms in this yearly sequence: three, three, and four. The Board of Directors shall meet after the annual meeting and elect the office of President, Vice-President, and Secretary-Treasurer for one-year terms.
Six directors shall be present at a board meeting to constitute a quorum.
Board members may not serve more than two consecutive terms. Co-owners may sit on the board simultaneously.
Meetings of the Board of Directors shall be held at least once per month excepting the month of December. Special board meetings may be called by the President or by a majority of the board members.
The Board of Directors shall have the power to hire, discharge, and supervise any and all employees of the Corporation. The Board shall have charge of all assets of the Corporation including property and equipment and shall be in charge of proper supervision of the Corporation’s interests and affairs.
The Board must have the approval of a majority of the shareholders at a called meeting before borrowing money in excess of Fifteen Thousand Dollars ($15,000).
The Board shall be responsible for proper conduct of the members of SSGCC and also for upholding its Constitution and By-Laws. The Board shall also be responsible for disciplinary actions that are defined by the By-Laws.
The original Board shall serve until the 1994 annual meeting. At the first meeting of the original Board, the ten elected directors shall select three one-year directors, three two-year directors, and four three-year directors by lottery drawing. The original Board shall then elect officers as directed by the Constitution and serve until the 1994 annual meeting.
If a member of the Board of Directors is not able to serve his/her term, the Board of Directors shall appoint a qualified shareholder to serve the remainder of the term.
The President shall be elected from the Board members and shall serve for one year. The President shall preside at all meetings of the Corporation and shall, together with the Secretary-Treasurer, pay all obligations and execute contracts on behalf of the Corporation. The President shall only vote in case of a tie vote on Board of Director decisions.
The Vice-President, in the absence of the President, shall assume all duties of the President.
The Secretary-Treasurer shall be responsible for taking minutes at all meetings of the Corporation. The Secretary-Treasurer shall keep an accurate record of the financial affairs using a single entry bookkeeping accounting system. The Secretary-Treasurer shall keep records of all receipts, will make no disbursements without the prior approval of the Board, and will also prepare a complete annual statement that itemizes income and disbursements for the Corporation that is available to all shareholders at the annual meeting.
The Nominating Committee shall consist of the past three presidents. The committee shall meet at least one month before the annual meeting and nominate at least one candidate for each opening on the Board of Directors. Any shareholder may declare his/her wishes to be a candidate on the Board of Directors to the Nominating Committee at least thirty days before the Annual Meeting, and that name must be included on the ballot.
The Annual Meeting of the SSGCC shall be held on the second Sunday of November, and the Board of Directors shall determine the time of the meeting. The Secretary-Treasurer shall notify each shareholder by mail of the meeting and shall include a list of the nominated and declared candidates for the Board of Directors and the Nominating Committee and an agenda. The notice shall be sent ten (10) days before the Annual Meeting.
Nominations for the Board of Directors shall be allowed from the floor at the annual meeting.
A quorum at any general meeting of SSGCC shall be thirty (30) voting shares.
A general meeting of the shareholders may be called either by the President, by a majority vote of the Board of Directors or by petition of thirty shareholders. Any general meeting of the shareholders must be announced by mail sent at least five days before the meeting date.
Robert’s Rules of Order shall be in force at all general meetings of the club and at all meetings of the Board of Directors.
The initial Constitution and any amendments to this Constitution or any changes in the By-Laws of this Constitution shall only be made by a majority vote of the shareholders present at a meeting called by written notice through the mail. Each amendment (and the original ratification) must be approved twice by affirmative votes at meetings called at least seven days apart.
The President and the Board of Directors shall appoint chairpersons and committee members to the following standing committees at the beginning of the club season: Greens and Grounds, Clubhouse, Entertainment, Rules and Regulations, Tournaments, and Long-Range Planning. The size and duties of each committee shall be described in the By-Laws to this Constitution. The Board of Directors may appoint other specific committees as needed.
